Liberia is one of the world’s longest-established offshore jurisdictions, offering a straightforward framework for international business. If you already operate an active company in another country, you do not need to liquidate it to enjoy Liberia’s benefits. Through a process called redomiciliation (or corporate continuation), you can legally migrate your existing company to Liberia.

By redomiciling, your company retains its original incorporation date, existing contracts, and operational history. Once transferred to a Liberian IBC, your company instantly benefits from a tax-neutral framework, allowing you to operate globally without local corporate taxation on qualifying offshore income.

Perguntas frequentes

What does it mean to redomicile a company?

Redomiciliation is the legal process of moving a company's domicile from one jurisdiction to another. The company is not closed or liquidated; it simply transfers its legal registration to Liberia while maintaining its original corporate identity.

Can companies from any country move to Liberia?

Most modern jurisdictions (such as the UK, Delaware, Cyprus, BVI, etc.) allow companies to transfer out, provided the company is in good standing and not facing bankruptcy. We will verify your company's eligibility during Step 1.

Will my company lose its original founding date?

No. A major benefit of redomiciliation is that your company retains its original incorporation date, operational history, and existing business contracts.

Do I need to close my current company before moving?

No. You must keep your current company active until the Liberian registry officially issues your Certificate of Continuation. Once Liberia accepts the company, you can then formally strike it off from your original registry.

How long does the redomiciliation process take?

Once we receive all certified corporate documents and approved KYC files, the transfer process with the Liberian registry typically takes a few business days to complete.

Are there really no setup fees for this process?

Yes. We completely waive our setup, filing, and administrative fees to make your transition to Liberia seamless. Your initial cost is $0.

What does the USD 1,150 annual fee cover?

Your flat annual renewal fee covers your mandatory government registry fees, the provision of your local Registered Agent in Liberia, and your registered office address for the year.

Quando vence o pagamento da taxa de renovação anual?

Under Liberian corporate law, all IBCs must pay their annual renewal fee on or before June 30th of every year to remain in good standing.

No. Liberian IBCs engaged solely in international business activities are not required to undergo mandatory annual audits or file public financial statements.

Why do I need to notarize my documents?

To comply with international anti-money laundering regulations and standard due diligence, all proof of identity and proof of address documents must be notarized to verify their authenticity.

What if my proof of address is older than 3 months?

For compliance purposes, all proof of address documents (such as utility bills or bank statements) must be dated within the last 3 months. Older documents will be rejected by our compliance team.

What if my company doesn't have a "Register of Members"?

Different countries use different terminology. If your current jurisdiction does not issue a specific Register of Members, we can accept certified share certificates or Articles of Association that clearly show the ownership breakdown.

Do documents need to be in English?

Yes. Because Liberia’s corporate registry operates in English, any corporate documents or individual identification proofs issued in another language must be accompanied by a certified English translation.

Are my documents kept secure?

Yes. All KYC documentation is uploaded via our secure, encrypted digital portal and is only accessible by our dedicated compliance team and the relevant registry authorities.

Does a Liberian IBC require a local director?

No. Liberia permits 100% foreign ownership and management. There is no requirement to appoint a local director or local shareholder.

Uma IBC liberiana pode abrir uma conta bancária offshore?

Yes. Once your company is successfully redomiciled, it can apply for corporate bank accounts, international payment gateways, and Electronic Money Institution (EMI) accounts globally.

Are corporate ownership details public in Liberia?

No. Liberia offers strong privacy protections. The details of directors, shareholders, and Ultimate Beneficial Owners (UBOs) are not broadly accessible through public corporate records.

Posso gerenciar minha empresa liberiana remotamente?

Yes. Directors and shareholders are not required to reside in Liberia or hold physical meetings there. All corporate administration can be managed remotely from anywhere in the world.

Can one person own and manage the entire company?

Yes. A Liberian IBC can be structured with just one director and one shareholder, and the same individual can hold both positions simultaneously.
